One Person Company (OPC) Registration in India 2026: Complete Guide

Quick take

A One Person Company (OPC) gives you the benefits of a private limited company — limited liability, separate legal entity, easier bank loans — while letting you be the sole owner. Registration costs ₹5,000–15,000 through a professional and takes 7–15 days. This guide covers the complete process, documents, costs, and compliance.

If you’re a solo entrepreneur who wants credibility, limited liability, and easier access to business loans without adding a partner, OPC is your best option. The 2021 Companies Act amendments removed the ₹2 crore turnover cap and residency requirements, making OPC viable for most solo businesses.

OPC registration: Step-by-step process

Step 1: Get DSC + DIN

Apply for Digital Signature Certificate (DSC) online (₹1,000–2,000, 1–2 days). Director Identification Number (DIN) is generated automatically during SPICe+ filing.

Step 2: Name reservation (RUN form)

Reserve your company name through RUN (Reserve Unique Name) on MCA portal. You can propose 2 names. Must end with “(OPC) Private Limited”. Approval in 1–3 days.

Step 3: File SPICe+ form

The integrated form covers: Company incorporation, DIN allotment, PAN & TAN, GST registration, EPFO/ESIC (if applicable), and bank account opening mandate. All in one form.

Step 4: Nominate a member

OPC requires a nominee — someone who takes over if the sole member dies or becomes incapacitated. File consent in INC-3 form. The nominee can be a family member or trusted person.

Step 5: Certificate of Incorporation

MCA issues Certificate of Incorporation with CIN number. You’ll also get PAN and TAN. Total time: 7–15 days from SPICe+ filing.

Documents required

PAN card, Aadhaar card, passport-size photo, address proof (electricity/water bill), proof of registered office (rent agreement + NOC from landlord or ownership document), nominee’s PAN and Aadhaar, and nominee consent letter (INC-3).

Cost breakdown

Item Cost
MCA government fees ₹1,500–2,000
DSC ₹1,000–2,000
Professional fees (CA/CS) ₹3,000–10,000
Stamp duty (varies by state) ₹500–3,000
Total ₹5,000–15,000

Annual compliance

OPC has fewer compliance requirements than Pvt Ltd: annual financial statements, annual return (MGT-7A), income tax return, board meeting (minimum 1 per half-year), and GST returns (if registered). No requirement for AGM.
